PLEASE READ THE FOLLOWING TERMS OF SERVICE (the "TERMS") CAREFULLY.THE USE OF ANY SERVICE of www.samepage.in WILL SIGNIFY YOUR AGREEMENT TO BE BOUND BY THE TERMS. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT CONTINUE.
Purpose of Agreement
The Samepage Services are made available to you by Azri Technologies Pvt Ltd subject to the following Terms. www.samepage.in may also offer other services under different terms of service. Samepage Services are made available by www.samepage.in only to persons who are above 13 years of age. By using the services you represent that you are 13 years or older.
Service Description
www.samepage.in provides users with access to an array of productivity oriented collaboration services and applications including and not limited to Task Manager, Note Taker, Photo viewer, web viewer etc. You may connect to the Services using any Internet browser. You are responsible for obtaining access to the Internet and the equipments necessary to use the Services.
Beta Membership
www.samepage.in may offer its service as closed or open or private beta services ("Beta Service" or "Beta Services") for the purpose of testing and evaluation. www.samepage.in shall have over- riding and sole authority and discretion to determine the period of time for testing and evaluation its beta service and shall exercise sole discretion to judge of the success of such testing and consequent decision to offer its beta service as commercial offering. The user (You) will not be under any obligation to subscribe to any commercial service as a consequence to your subscription to the Beta Service. www.samepage.in Azri reserves the right to modify or discontinue, at any time and from time to time, temporarily or permanently, its Beta Service with or without notice to you. You agree that www.samepage.in shall not be liable to indemnify you or to any third party for any harm related to, arising out of, or caused by the modification, suspension or discontinuance of its Beta Service for any reason.
Changes/Modification/Amendment to the TOS
Www.samepage.in may, upon notice to you, modify the Terms of service at any time. These amendments or changes may include but not limited to payment for the Service. The user (You) will be provided notice of any such amendment by e-mail to your registered email address or through a notification or publication of the amendments its website http://www.samepage.in.
You will have discretion to discontinue the service, if the changes to the service alter in such a manner that importantly affects your rights per se the use of the service. Your continuing to use the service consequent to the notification of change to the terms of the service will be deemed to be your agreement to such changes.
User Registration Requirement
The process of registration requires you to, a) provide accurate current and complete details as requested by the registration process in vogue and b) maintain and periodically edit your registration details to keep it updated, accurate and complete.
If any information provided by you is inaccurate, inappropriate and incomplete and in the event of www.samepage .in having reasonable or corroborative grounds to suspect the fidelity and veracity of the information provided by you, www.samepage.in shall have over-riding authority to terminate your account and disallow reactivation and future use of the service.
Personal Information and Privacy Particulars
Personal information you provide to Www.samepage.in through the Service is governed by Samepage Privacy Policy and applicable laws related to personal information. Your election to use the Service indicates your acceptance of the terms of the Samepage Privacy Policy. You are responsible for maintaining the confidentiality of your username, password and other sensitive information. You are responsible for all activities that occur in your Account and you agree to notify Www.samepage.in immediately of any unauthorized use of your Account at accounts@samepage.in. Www.samepage.in is in no way responsible for any loss or damage to you or to any third party incurred as a result of any unauthorized access and/or use of your Account, or otherwise.
Corporate Communication from www.samepage.in
The service offered by www.samepage.in will include but not limited to "communication" to the user (you) via announcements, administrative messages, notifications and newsletters. The user (you) understands that such communication received from www.samepage.in will be included as a part of your usage of service. We will offer you the option to opt out from receiving emails or communication from us. However this may prevent us from offering effective and efficient service to you.
Fees and Payments
www.samepage.in reserves the right at any time to charge or modify fees for access to portions or whole of any or all of the Services. However, such fees shall not be charged unless your prior agreement to pay such charges is obtained. Thus, if at any time Www.samepage.in requires a fee for any of the Services, you will be given reasonable advance notice of such fees and the opportunity to cancel your membership before such charges are imposed. If you elect not to pay such fees, www.samepage.in shall have the right to cease providing such Service to you.
Restriction of Use
In addition to all other terms and conditions of this Agreement, you shall not: (i) transfer or otherwise make available to any third party the Services; (ii) provide any service based on the Services without prior written permission; (iii) use the third party links to sites without agreeing to their website terms & conditions; (iv) post links to third party sites or use their logo, company name, etc. without their prior written permission; or (v) use the Services for spamming and other illegal purposes.
Spamming and unlawful activities
You agree to be solely responsible for the contents of your transmissions through the Services. You agree not to use the Services for illegal purposes or for the transmission of material that is unlawful, harassing, libelous, invasive of another's privacy, abusive, threatening, harmful, vulgar, pornographic, obscene, or otherwise objectionable, contains viruses, or that infringes or may infringe the intellectual property or other rights of another. You agree not to use the Services for the transmission of "junk mail", "spam", "chain letters", or unsolicited mass distribution of email. www.samepage.in reserves the right to terminate your access to the Services if www.samepage.in believes that you have used the Services for any illegal or unauthorized activity.
Data Proprietary
With specific permission from you, your usage of the service does not grant www.samepage.in, the license to use, reproduce, adapt, modify, publish or distribute content created by you or stored in your Account for www.samepage.in's commercial, marketing or any similar purpose.
User Generated Content
You may transfer, save, upload or publish content created by you using the samepage platform. The nature of such content and consequence of any action taken by you on the content will reside solely with you. The content received by you from other users of the samepage platform is provided to you prima facie and as-is for your information and personal usage and you will not use the content for any of the following activities like copy , reproduce ,distribute, transmit, upload, broadcast, publish, license without express written consent of the creator of the content.
During the course of usage of the samepage platform , if you come across any content with copyright notice(s) or any copy protection feature(s), you agree and will Not Remove/disable/make available/distribute such copyright notice(s) and the content contained thereof. By making any copyrighted/copyrightable content available on any of the Services you affirm that you have the consent, authorization or permission, as the case may be from every person who may claim any rights in such content to make such content available in such manner.
You agree that www.samepage.in shall have the right to block access to or remove such content made available by you in the manner aforementioned and also if www.samepage.in receives complaints concerning any illegality or infringement of third party rights in such content. By using the samepage services and transmitting or publishing any content using such service, you consent to determination of questions of illegality or infringement of third party rights in such content by the agent designated by www.samepage.in for this purpose. www.samepage.in, www.samepage.in logo, Samepage, Samepage logo, the names of different Samepage Services and their logos are trademarks of Azri Technologies Pvt Ltd. You agree not to display or use, in any manner, the Www.samepage.in trademarks, without prior permission of Azri Technologies Pvt. Ltd.
Disclaimer of Warranties
YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN AS-IS-AND-AS-AVAILABLE BASIS. WWW.SAMEPAGE.IN EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WWW.SAMEPAGE.IN MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR VIRUS FREE. USE OF ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE SERVICES SHALL BE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE TELEPHONE, WIRELESS DEVICE OR DATA THAT RESULTS FROM THE USE OF THE SERVICES OR THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM WWW.SAMEPAGE.IN, ITS EMPLOYEES OR REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.
Limitation of Liability
YOU AGREE THAT WWW.SAMEPAGE.IN SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WWW.SAMEPAGE.IN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH WWW.SAMEPAGE.IN RELATED TO ANY OF THE SERVICES SHALL BE TERMINATION OF SUCH SERVICE. IN NO EVENT SHALL WWW.SAMEPAGE.IN'S ENTIRE LIABILITY TO YOU IN RESPECT OF ANY SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED THE FEES PAID YOU TOWARDS SUCH SERVICE.
Indemnification
You agree to indemnify and hold harmless www.samepage.in, its officers, directors, employees, suppliers, and affiliates, from and against any losses, damages, fines and expenses (including attorney's fees and costs) arising out of or relating to any claims that you have used the services in violation of another party's rights, in violation of any law, in violations of any provisions of the Terms, or any other claim related to your use of the Services.
Arbitration
Any controversy or claim arising out of or relating to the Terms shall first be resolved by the parties through negotiations, failing which the same shall be subject to Arbitration of Arbitrator's, a common arbitrator if both parties agree to the same individual or one to be appointed by each Party and the two Arbitrators to appoint an third Arbitrator. Such Arbitration proceedings shall be conducted at Hyderabad, in accordance with the provisions of the Arbitration and Conciliation Act, 1996, any amendments thereto or any other legislation for the time being in force. The Award passed by the Arbitrator/s in pursuance of such Arbitration proceedings shall be binding upon both parties hereto.
TERMINATION
www.samepage.in reserves the right to terminate ( which would include removal of access to all offerings within the Service/deletion of password and all related information, files and content associated with or inside User account, barring further use of the Service) without any notice under the following circumstances:
1. Breach or violation of the Terms and Conditions of the TOS/agreement/guidelines.
2. At the request/ requirement of any law enforcement agency or as required under the law/its agencies/nominees
3. User request
4. Discontinuance or material modification to the Service
5. Unforeseen / unprovoked for or unexpected issues relating to security or similar issues\
6. Extended periods of inactivity
7. Fraudulent or illegal activity by User
8. Nonpayment of dues to Service provider.
User agrees that the Service is non-transferable and any rights of the User to the contents within the account terminate upon death. Upon receipt of a copy of a death certificate, User account may be terminated and all contents therein permanently deleted.
